Definitions

In this policy the definitions below shall have the following meanings:

We, Us, Our, Company refers to Comm21 Ltd.

Comm21, Comm21 Ltd refers to Comm21 Ltd whoes principal place of business is at The Belfry, Solent Business Park, Fareham, Hampshire. PO15 7FJ. Comm21 are a registered company in England, UK at the principle place of business address. The Company registration number is 06534439, and the VAT number is 941648704.
Comm21 are responsible for this Service and not necessarily the products and services that are mentioned and configured on the Service as defined by the Portal.

Keep21 is the online Service available to You as permitted by Comm21 or a Portal. Keep21 has been developed and is maintained by Comm21.

Portal, Portals are companies, organisations and other business entities that have been granted permission and a license by Comm21 to use Keep21 for their own Customers in accordance with the standard terms and conditions of this Service.

You, Your, User, Customer, Customers referes to the user/ person who uses the Service.

Data means any personal or company information, and information about the products and services We supply to You. This Data is either submitted by Us or You and is stored in (but not limited to) our computer systems, or paper retrieval systems.

Service, Site means collectively the online web site, tools, services or information Keep21 makes available to You now or in the future. The web site is located at http://www.keep21.com, however any sub domains in the format http://*.keep21.com where * indicates the subdomain are part of this Service.

Supplier means the company, organisation, or entity that provides the User with access to this Service (as part of being an authorised Portal) AND who provides the Customer with the products visible in the Service. Therefore the Supplier is also a Portal. To clarify; Your Portal is Your Supplier.

Account means a personal means of accessing the Service by using personal login details such as an E-mail address and secure password.

Terms of Use

These Terms and Conditions of Use (the "Terms of Use", "Terms of Service", "TOS") apply to the Keep21 web site located at www.keep21.com, and all associated sites including sub domains *.keep21.com, sites linked to www.keep21.com by Keep21, its subsidiaries and affiliates, and the service Keep21 provides, (collectively, the "Service"). The Service is the property of Comm21 and its licensors. These Terms of Use are an agreement between You and Comm21, not the Portal. BY USING THE SERVICE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SERVICE, LEAVE THE SERVICE IMMEDIATELY. IF YOU CONTRAVENE ANY OF THESE TERMS, THEN YOUR ACCOUNT WILL BE SUSPENDED AND CRIMINAL PROCEEDINGS MAY COMMENCE.

You agree to use the Service only for purposes as proposed by these Terms of Use and any applicable law, regulation or generally accepted practice in the applicable jurisdiction. This Service is designed for interaction between You, the Portal and Comm21 Ltd. It is not intended to be used for interaction between You and another supplier, or for the supplier to use the information held in the Service. This Service is not intended for use by any other Communications Provider CP, or Commercial, or Business Entity other than Comm21, or your Supplier, except where written permission has been sought prior to Comm21 Ltd.

Who is allowed access to the Service

Comm21 grants a Portal use of the Service for their own customers to use and access in a method which complies with the TOS.

Updates to the TOS

Comm21 reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time. It is Your responsibility to check these Terms of Use regularly for changes before You proceed to use the Service. Your continued use of the Service following the posting of changes will mean that You accept and agree to the changes. As long as You comply with these Terms of Use, Comm21 grants You a personal, non-exclusive, nontransferable, limited privilege to enter and use the Service. The new Terms of Use are considered binding upon You accessing the Service.

Content

All text, graphics, user interface, visual interfaces, photographs, trademarks, logos, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel", and arrangement of such Content, contained on the Site is owned, controlled or licensed by or to Comm21, and is protected by copyright and various other intellectual property rights.

Except where expressly provided in these Terms of Use, no part of the Service nor Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted or distributed in any way to any other computer, server, Web site or other medium for publication, distribution or for any commercial enterprise, without Comm21's express prior written consent.

Description of the Service

System Requirements

Use of the Service requires one or more compatible devices, certain software and Internet access; separate fees may apply. Your use of the Service may be affected by certain combinations of hardware, software and/ or Internet access. High speed Internet access is strongly recommended. Compatible devices: Mac and PC. For Mac: Mac OS X v10.5, v10.6 or later, Safari 4, Firefox 3.5, or later. For PC: Windows XP Home or Professional (SP2) or later or Windows Vista, Internet Explorer 7 or later, Safari 4 or later, Firefox 3.5 or later.

Changing the Service

Comm21 reserves the right to modify or stop the Service (or any part thereof), either temporarily or permanently, at any time or from time to time, with or without prior notice to You. Without limiting the foregoing, Comm21 may post on our web site and/ or send an E-mail to the E-mail address You have registered with Keep21, notice of such changes to the Service. It is Your responsibility to review our web site and/ or check the E-mail account You have registered with the Service for any such notices. Where the Service is unavailable, and where You have been given prior information and authorisation to, You should consult the alternate options to using the Service.

Your rights to use the Service

You are only permitted to use this Service if You have been authorised to do so by Comm21 or your Supplier. If Your account has not been configured, enabled, activated, or authorised to use the Service, then You are not permitted to use the Service, this includes accounts that have previously been enabled, activated and authorised, but which subsequently have been disabled, deactivated, disconfigured or deleted.

Your account may at any time be suspended or deactivated if we suspect You have breached any of these Terms of Use or Your account is being used in an unauthorised manner. However, Comm21 or a Portal reserve the right to suspend or deactivate Your account if You have breached any other terms and conditions of Comm21's or the Portal's, including terms and conditions governing the supply of their products and services to which Keep21 is used for.

Limitations of the Portal

The Portal use this Service to provide You with a more interactive experience. Accuracy of the assets mentioned and recorded on the Service, including by not limited to, products, network services, maintenance agreements, are not guaranteed. The accuracy of, including but not limited to, the products, network service, additional services that are associated to a maintenance or support agreement is also not guaranteed. All reasonable efforts should be made by the Portal to ensure the accuracy, however, occasionally data entry mistakes may occur. It is recommended that were a discrepancies occur, or where two sources of information differ, that You refer to the original agreement of sale or network services between You and the Portal.

Fair Usage Policy

Your use of the Service is governed by "Fair Usage". Fair Usage applies to bandwidth for network traffic to the Service and storage capacity at the Service. Fair Usage is defined to, but not limited to the detrimental activities that prevent other users of the Service access to the Service, the Service to fail (or part thereof), or the Service to perform at limited functionality or speed.

Where the Service permits file uploads or attachments, You should be aware of any notice of storage limitations. Where a notice is not shown, it is assumed to be 20MB (twenty mega bytes, where 1 byte is 8 bits), 20,480,000 Bytes per file upload. You are also limited to upload no more than 50MB of file uploads per company account. We reserve the right to remove any files uploaded which push this account limit over 50MB, or indeed any file attachments that limit our ability to give other users of the Service to upload files.

You are not permitted to use automated login tools or services that log Your user account into the Service automatically without user intervention. You are not permitted to repeatedly log into and out of Your account in such a way that it is very frequent and puts excess strain on the system resources of the Service.

Security

Warning: Unauthorised use of Keep21 is an offence against the Computer Misuse Act 1990. All logins are logged for security purposes.

Your Account, Password and Security

Use of the Service requires an authorised account as permitted by Your Supplier and in turn permitted by Your organisation. You are entirely responsible for maintaining the confidentiality of Your account information, including Your password, and for any activity that occurs under Your account. You agree to notify the Portal or Comm21 immediately of any unauthorised use, or suspected unauthorised use of Your account and/or password, and/or any other breach of security that affects any part of the Service. However, You may be held liable for any losses, damages incurred by Your Supplier, another Portal or Comm21 or any other user of or visitor to the Service due to someone else accessing Your account using Your credentials including Your log in details.

You must ensure that Your password associated to Your Account for the Service is a suitable length such that it is equal to or greater than 7 characters long, contains at least one numeric value and at least one UPPER case character. You must also ensure that Your password is not easily guessable, blindingly obvious, or too simple so that someone else could guess and gain access to Your Account.

It is recommended that don't use the same password for Your Account that you use for other web sites, secure logins, and other gatekeeper entry systems. It is also recommended that You frequently change Your password associated to Your account to a new secure one to ensure integrity of Your account at all times. The recommended time between changing Your password is every 30 days. It is recommended that this new password be a completely different one, such that you haven't simply changed a few characters that perhaps are easily guessable.

Using the Service

You are only allowed to use the Service by clicking on the hyperlinks, buttons and clickable images and navigating to how the Service has been configured. You are not permitted to manually alter the URL (changing the web site address for the Service using your Internet browser's address bar), including changing the query parameters whilst using the Service. Any attempt to manually change the URL including parameters will be judged to be unauthorised, and attempt to illegally access information, or adversely affect the Service. If You are found to have manually altered the URL, Your Account and Your company's Account will be suspended indefinitely. We may log any attempt where You alter and try to access a URL that is invalid or unauthorised.

Accounts

You are not permitted to log in with anyone but Your own log in details, even with permission from the Account holder. You are only permitted to log into Your own Account denoted by Your own unique E-mail address and secure password. You are not permitted to, including but not limited to, allow fellow colleagues, friends, managers or family to access Your Account with Your E-mail address and password. If a colleage, manager or other person in Your organisation requires access to the Service, then if You have sufficient admin rights for the Service, You can create an Account for them . If You do not posses sufficient admin rights for the Service, contact Your account manager or colleague with sufficient access rights. The person without access to the Service can only access the Service once they have their own, authorised access to the Service through the provision of their own Account.

You are not permitted to allow third parties access to Your Account, including any company or individual. This includes allowing companies other than the company providing You with this Service.

Detailed Use of the Service

Changing Your personal details

You are allowed to change the following information within Keep21 Yourself according to these set of conditions. The Data that You change must be accurate and correct; false information will not be tollerated as this could adversely affect the level of Service that You receive.

Where You update Your details (including but not limited to Your password, E-mail address, Forename, Surname and Telephone Number), You must ensure that these details are Your own, and not someone else's. For instance do not change Your details to someone else's, instead create a seperate Keep21 Account for this user.

Adding new Accounts

Where Your Account is denoted as having 'Admin' or 'Master User' Account status, You are allowed to add new Keep21 Accounts to the Service. New Accounts can be created for Your colleagues only. There is also a restriction on the E-mail address domain that You can use for these extra users in that they have to have the same domain as Your own. You are not permitted to create an Account for a person, entity or company that is outside of Your own company. You are not permitted to create an Account for a user that would not be allowed to have an Account within Your organisation as permitted by Your management or internal rules. You are not permitted to create an Account for a competitor or partner to Comm21 or a Portal.

Deleting or removing Accounts

If You have 'Admin' or 'Master User' access rights, and are authorised to remove the user based on Your organisation's rules, then you are authorised to delete a user Account. Please think carefully before deleting a user Account, as this operation cannot be reversed.

Cases

The service level response for new and exisiting cases is judged according to your maintenance and support agreement, and including but not limited to factors such as whether the product/ service is covered under the support agreement, whether the SLA is valid for the time logged, whether the SLA is valid for the type of case logged etc.
